Beem Terms of Service

Welcome to Beem.

These Terms of Service (“Terms”) govern your access to and use of the Beem mobile application, website, and related services (collectively, the “Service”).

By creating an account, accessing, or using Beem, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

1. About Beem

Beem is a social discovery and communication platform designed to help people share moments, discover other people, start conversations, and build meaningful connections.

Beem may provide features including:

• Shots
• Vibes
• Replies
• Beemers
• Inner Circle
• Beem Tap
• personalized discovery
• recommendations
• other social and communication features

Features may change over time as the Service evolves.

Beem does not guarantee that any particular feature will always remain available or operate in the same way.

2. Eligibility

You may use Beem only if you are legally permitted to do so in your jurisdiction.

You must meet the minimum age required to use the Service under applicable law.

If you are below the age at which you may independently consent to use online services in your jurisdiction, you may need authorization from a parent or legal guardian.

By using Beem, you represent that you meet the applicable eligibility requirements.

Beem may restrict, suspend, or terminate access where we reasonably believe an account does not meet applicable eligibility requirements.

3. Your Account

You may need to create an account to use certain Beem features.

You agree to provide accurate information and to keep your account information reasonably up to date.

You are responsible for:

• maintaining the confidentiality of your account credentials
• activity that occurs through your account
• promptly notifying us if you believe your account has been compromised

You may not:

• impersonate another person
• create an account using information you are not authorized to use
• access another user's account without authorization
• sell, transfer, or commercially trade your Beem account without our permission

We may take reasonable steps to protect account security, including requiring verification or restricting suspicious activity.

4. Shots and User Content

Beem allows users to create, upload, share, and interact with content, including photos, videos, Shot titles, profile information, and other materials (“User Content”).

You retain ownership of the User Content you create.

By uploading or publishing User Content to Beem, you grant Beem a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, display, and technically modify that content only as reasonably necessary to:

• operate the Service
• display content to intended audiences
• provide media delivery
• enable social and discovery features
• protect and secure the Service
• improve Beem's functionality
• comply with applicable law

This license does not transfer ownership of your content to Beem.

The license ends when the content is deleted from our systems, except where continued retention is reasonably necessary for backups, security, legal obligations, disputes, or other lawful purposes.

5. Your Responsibility for Content

You are responsible for the content you publish through Beem.

You represent that you have the rights necessary to upload and share your User Content.

You may not upload or distribute content that:

• infringes another person's intellectual property rights
• violates privacy or publicity rights
• is unlawful
• is fraudulent or deceptive
• contains malware or malicious code
• promotes or facilitates serious harm
• constitutes harassment, threats, or targeted abuse
• exploits or endangers minors
• contains non-consensual intimate imagery
• violates applicable law or these Terms

We may remove or restrict access to content that violates these Terms or applicable law.

6. Content Visibility

Beem may allow content to be visible to different audiences depending on the feature and your relationship with other users.

Examples may include:

• content visible more broadly through discovery
• content visible to Beemers
• content visible to Inner Circle members

You are responsible for understanding the audience you choose when publishing content.

Beem does not guarantee that another user will not save, capture, reproduce, or share content they are able to view.

You should not post information you are not comfortable sharing with the intended audience.

7. Vibes

Vibes are a way for users to react to a Shot.

Vibes may be used by Beem to provide social features and improve personalization.

Beem may choose not to display public Vibe counts or other public engagement metrics.

A Vibe does not represent an endorsement, contractual relationship, or guarantee of compatibility between users.

8. Replies

Replies allow users to begin private conversations from a Shot.

Replies are designed as a limited communication feature rather than an unrestricted global direct-messaging system.

Beem may place limits on Reply conversations, including limits on the number of messages that may be sent.

These limits may change over time.

Beem may offer users the option to continue a connection through other Beem features, such as becoming Beemers.

Private Reply message content is governed by our Privacy Policy.

Users are responsible for their own communications and interactions with others through Replies.

9. Beemers and Inner Circle

Beem may allow users to create closer social relationships through features such as Beemers and Inner Circle.

A Beemer relationship indicates that users have chosen to remain connected through Beem.

Inner Circle may allow a user to give selected Beemers access to additional or more private content.

These features do not create:

• an employment relationship
• a partnership
• a contractual relationship between users
• a guarantee of identity
• a guarantee of trustworthiness
• a guarantee of compatibility or safety

You are responsible for deciding who you connect with and what content you share with them.

10. Beem Tap

Beem Tap is designed to support intentional in-person interactions between users.

Beem Tap may use technologies such as Bluetooth or similar device capabilities.

Using Beem Tap is voluntary.

You are responsible for deciding when and with whom you use Beem Tap.

Beem Tap does not guarantee:

• the identity of another person
• their intentions
• their trustworthiness
• their safety
• their compatibility with you

Exercise reasonable judgment when interacting with people you meet through Beem.

11. Discovery and Recommendations

Beem may use automated systems and machine-learning technologies to personalize content and people shown to you.

Recommendations may be based on signals such as:

• content you publish
• interactions
• broad interests
• contextual signals
• freshness
• diversity
• explicit feedback
• other relevant product signals

Recommendations are intended to help users discover potentially relevant content and people.

They are not guarantees.

Beem does not guarantee that:

• recommendations will always be accurate
• another user shares your interests
• another user is compatible with you
• interacting with a recommended person will result in a positive experience
• recommended users are safe, trustworthy, or suitable for any particular purpose

You are responsible for your own decisions and interactions.

12. Automated Systems

Beem may use automated systems to:

• understand broad characteristics of content
• organize discovery
• personalize recommendations
• detect abuse or suspicious activity
• improve reliability and safety

Automated systems may make mistakes.

Beem does not represent that automated analysis is always accurate, complete, or error-free.

13. Prohibited Conduct

You may not use Beem to:

• harass, threaten, stalk, or intimidate another person
• exploit or endanger minors
• engage in hate-based abuse or targeted harassment
• distribute illegal content
• distribute non-consensual intimate material
• impersonate another person
• deceive users for fraud or financial exploitation
• distribute malware
• attempt to gain unauthorized access to Beem systems
• interfere with the operation of the Service
• scrape or collect information from Beem through unauthorized automated means
• reverse engineer the Service except where such restriction is prohibited by law
• bypass technical restrictions or security controls
• use Beem for spam or unauthorized commercial solicitation
• use another person's information without authorization
• use Beem in a way that violates applicable law

We may investigate suspected violations and take appropriate action.

14. User Interactions and Safety

Beem helps users discover and communicate with other people, but Beem does not control users' behavior outside the Service.

You are responsible for your interactions with other users.

Use reasonable judgment before:

• meeting someone in person
• sharing sensitive information
• sharing your precise location
• sharing financial information
• sending money
• entering into business or personal arrangements

Beem does not conduct comprehensive background checks on every user unless expressly stated otherwise.

We do not guarantee the identity, background, intentions, statements, or conduct of users.

15. Reporting and Enforcement

Users may be able to report content, accounts, or behavior that they believe violates Beem's rules.

We may review reports and take actions such as:

• removing content
• limiting visibility
• restricting features
• suspending accounts
• terminating accounts
• preserving information where legally required
• cooperating with valid legal requests

We are not obligated to take a specific action in response to every report.

Enforcement decisions may depend on context, evidence, severity, legal obligations, and platform safety considerations.

16. Intellectual Property

Beem and its associated software, branding, designs, logos, interfaces, trademarks, and other proprietary materials are owned by Beem or its licensors.

Except for rights expressly granted under these Terms, no rights are transferred to you.

You may not copy, distribute, modify, or commercially exploit Beem's proprietary materials without authorization, except as permitted by applicable law.

17. Feedback

If you provide suggestions, ideas, or feedback about Beem, you allow us to use that feedback to improve or develop the Service without an obligation to compensate you.

This does not transfer ownership of your User Content or private communications.

18. Third-Party Services

Beem may rely on or link to third-party services.

Examples may include:

• cloud infrastructure
• media delivery
• email providers
• Apple services
• external websites
• App Store services

Third-party services may have their own terms and privacy practices.

Beem is not responsible for third-party services outside our reasonable control.

19. Service Availability

We aim to provide a reliable Service, but Beem may occasionally be unavailable due to:

• maintenance
• technical failures
• network outages
• security incidents
• infrastructure failures
• changes to the Service
• circumstances outside our reasonable control

We do not guarantee uninterrupted or error-free availability.

20. Changes to the Service

We may modify, add, remove, or discontinue features.

We may also change limits, functionality, or technical requirements as the Service evolves.

Where required by law, we will provide appropriate notice of material changes.

21. Suspension and Termination

We may restrict, suspend, or terminate an account if we reasonably believe:

• these Terms have been violated
• the account creates a security risk
• the account is being used unlawfully
• the account threatens the safety of users or the Service
• suspension is required by law or valid legal process
• continued access could cause harm to Beem, users, or third parties

Where appropriate, we may provide notice.

Some circumstances may require immediate action without prior notice.

22. Ending Your Use of Beem

You may stop using Beem at any time.

Where account-deletion functionality is available, you may request deletion of your account.

Account deletion and data retention are further described in the Privacy Policy.

Certain information may remain where retention is required or permitted by law, including for:

• fraud prevention
• security
• legal obligations
• disputes
• enforcement
• backup integrity

23. Privacy

Your use of Beem is also subject to the Beem Privacy Policy.

The Privacy Policy explains how Beem collects, uses, shares, retains, and protects personal information.

24. No Professional Advice

Content available through Beem is generally created by users.

Unless expressly stated otherwise, Beem does not provide:

• medical advice
• legal advice
• financial advice
• professional counseling
• professional verification of user-generated information

You should not rely on user-generated content as professional advice.

25. Disclaimers

To the maximum extent permitted by applicable law, Beem is provided on an “as is” and “as available” basis.

We do not guarantee that:

• the Service will always be available
• the Service will always be error-free
• content will always remain available
• recommendations will always be accurate
• users will behave appropriately
• interactions between users will be safe or successful

Nothing in these Terms excludes rights or warranties that cannot legally be excluded under applicable consumer-protection laws.

26. Limitation of Liability

To the maximum extent permitted by applicable law, Beem and its officers, directors, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Service.

This may include loss arising from:

• user interactions
• lost content
• service interruptions
• unauthorized account access
• reliance on user-generated content
• third-party conduct

Where applicable law does not permit certain exclusions or limitations, those exclusions or limitations will apply only to the extent permitted.

Nothing in these Terms limits liability where such limitation is prohibited by law.

27. Indemnification

To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, and reasonable expenses arising from:

• your unlawful use of Beem
• your User Content
• your violation of these Terms
• your violation of another person's rights

This provision does not apply where prohibited or limited by applicable consumer law.

28. Consumer Rights

Nothing in these Terms is intended to waive rights that cannot legally be waived.

Depending on where you live, you may have mandatory consumer-protection rights that apply in addition to these Terms.

If a provision of these Terms conflicts with mandatory applicable law, the mandatory law controls to the extent of the conflict.

29. Governing Law

These Terms are governed by the laws of:

32. Severability

If Beem does not enforce a provision of these Terms immediately, that does not mean Beem waives the right to enforce it later.

34. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms expressly presented for specific features, form the agreement between you and Beem regarding use of the Service.
